About the social welfare corporation under the jurisdiction of the Mayor of Inagi City

As a result of the amendment to the Social Welfare Act under the "Act on the Establishment of Related Laws for Promoting Reforms to Enhance Local Autonomy and Independence," the jurisdiction of social welfare corporations whose main office is located in Inagi City and whose activities are within Inagi City has changed from the Governor of Tokyo to the Mayor of Inagi City, effective April 1, 2013.
Consequently, for social welfare corporations under the jurisdiction of the Mayor of Inagi City, Inagi City will handle matters such as establishment and approval of articles of incorporation, as well as guidance and audits.

About Guidance and Audits of Social Welfare Corporations

The Mayor of Inagi City will regularly conduct guidance audits (on-site inspections) regarding the operational and accounting status of social welfare corporations under the jurisdiction of the city, based on Article 56 of the Social Welfare Act and related laws, notifications, etc.
Regarding on-site inspections, they will be conducted in accordance with the "Establishment of Guidelines for Guidance Audits of Social Welfare Corporations (Notification from the Director on April 27, 2017)" and the audit items will be based on the legal and notification grounds, confirmation items when making judgments on legality, points of focus during confirmation, and criteria for pointing out, as outlined in the attached "Guidelines for Guidance Audits" of the same notification.

About the authorization procedures for social welfare corporations

Application Form for Approval of Amendment to Articles of Incorporation

When a social welfare corporation seeks approval for a change to its articles of incorporation, it must submit the Application Form for Approval of Change of Articles of Incorporation and the necessary attached documents to the competent authority (Mayor of Inagi City).
In Inagi City, we will review the content of the application and conduct any necessary investigations before granting approval for the change of articles of incorporation.
Please be aware that changes to the articles of incorporation will not take effect without the approval of the competent authority.
Additionally, if the change to the articles of incorporation pertains to matters related to the registration of the social welfare corporation, the change must be registered with the registration office promptly after approval.

Notification of Articles of Incorporation Amendment

In order to simplify and expedite the administrative procedures related to changes in the articles of incorporation of social welfare corporations, if the following items for changes in the articles of incorporation apply, it is sufficient to notify the competent authority (Mayor of Inagi City).
Furthermore, if you need to change both items that can be notified and items that require approval for changes in the articles of incorporation at the same time, it is possible to submit a single application for approval for changes in the articles of incorporation that includes the notified items.

Notification of Articles of Incorporation Amendments

  1. When the location of the corporate headquarters is relocated (changed)
  2. When the principal assets (land, buildings, and cash) increase
  3. When changing the method of announcement

When a social welfare corporation submits a Notification for changes to its articles of incorporation, it must submit the Notification of Changes to the articles of incorporation along with the necessary attached documents to the competent authority (Mayor of Inagi City).
In Inagi City, necessary investigations will be conducted regarding the contents of the Notification of Changes, and it will be accepted.

Application Form for Approval of Disposal of Basic Assets

When a social welfare corporation disposes of its basic assets, it must submit an Application Form for Basic Asset Disposal Approval and the necessary attached documents to the competent authority (Mayor of Inagi City) in advance and obtain approval. In Inagi City, the content of the application will be reviewed and investigated, and approval for the disposal of basic assets will be granted.
Furthermore, it is not possible to dispose of basic assets before obtaining approval from the competent authority.
Since basic assets are matters listed in the articles of incorporation, disposing of basic assets will require a change to the articles of incorporation. Therefore, it is necessary to obtain approval from the Mayor of Inagi City and promptly carry out the procedures for amending the articles of incorporation after disposing of the relevant assets.
