Authorization/guidance audit of social welfare corporations

About the social welfare corporation whose jurisdiction is Mayor Inagi

Due to the revision of the Social Welfare Law under the "Act on the Development of Related Laws to Promote Reforms to Increase Regional Autonomy and Independence," from April 1, 2013, "the main office will be moved to Inagi City." The competent authority for social welfare corporations whose activities are within Inagi City has been changed from the Governor of Tokyo to the Mayor of Inagi.
In line with this, Inagi City will be responsible for administrative affairs such as establishment and approval of changes to the articles of incorporation, as well as guidance and audits for social welfare corporations for which the Mayor of Inagi is the competent authority.

Regarding guidance audits of social welfare corporations

The Mayor of Inagi will periodically conduct guidance audits (on-site inspections) regarding the operational status and accounting status of social welfare corporations for which the mayor has jurisdiction, based on Article 56 of the Social Welfare Act and related laws and notifications. .
On-site inspections will be conducted in accordance with the attached ``Guidance and Audit Implementation Guidelines for Social Welfare Corporations'' of the ``Establishment of Guidelines for Implementation of Guidance and Audits for Social Welfare Corporations'' (Notice of the Director-General dated April 27, 2017), and will be conducted in accordance with the laws and regulations regarding the audit matters and notifications. The basis for the above, items to be confirmed when making a judgment regarding legality, points of focus when making confirmation, and standards for pointing out are based on the attached "Guidance and Audit Guidelines" of the same notice.

Application for approval to change the articles of incorporation

When a social welfare corporation seeks approval to amend its articles of incorporation, it submits an application for approval to amend its articles of incorporation and the necessary attached documents to the competent authority (Mayor Inagi).
Inagi City will examine the contents of the application and conduct any necessary investigations, and will approve the changes to the articles of incorporation.
Please note that changes to the articles of incorporation will not become effective unless approved by the competent authority.
In addition, if the changes to the articles of incorporation are changes to the registered matters of the social welfare corporation, the changes must be registered at the registry office immediately after approval.

Notification of changes to the articles of incorporation

In order to simplify and speed up the administrative procedures for changing the articles of incorporation of social welfare corporations, if the following items for notification of changes to the articles of incorporation apply, it is sufficient to notify the competent authority (Mayor of Inagi City).
In addition, if you are changing both items that can be changed by a notification of changes to the articles of incorporation and items that require an application for approval of changes to the articles of incorporation at the same time, you can submit a single application for approval of changes to the articles of incorporation that includes the items to be notified.

(1) When the corporate headquarters is relocated (changed)
(2) When basic assets (land, buildings, and cash) increase. (3) When the method of announcement is changed. When a social welfare corporation notifies of a change to its articles of incorporation, it submits a notification of change to the articles of incorporation and the necessary supporting documents to the competent authority (the Mayor of Inagi City).
Inagi City will conduct the necessary investigation into the contents of the notification of changes to the articles of incorporation and then accept it.

Basic property disposal approval application form

When a social welfare corporation disposes of basic assets, it must submit an application for approval of basic assets disposal and the necessary attached documents to the competent authority (Mayor of Inagi) and receive approval in advance. Inagi City will examine and investigate the contents of the application and approve the basic property disposition.
Please note that basic assets cannot be disposed of before obtaining approval from the competent authority.
Since the basic assets are registered in the articles of incorporation, when the basic assets are disposed of, the articles of incorporation will be changed. Therefore, after receiving approval from Mayor Inagi and disposing of the property, it is necessary to promptly carry out procedures to amend the articles of incorporation.
